# Indemnification
By using our services, you explicitly acknowledge and agree to the following terms:
### **Release and Indemnification:**
Users commit to releasing, indemnifying, defending, and holding harmless KUSA, its parent company, subsidiaries, affiliates, and agencies.
This includes officers, directors, employees, shareholders, and representatives associated with these entities.
### **Scope of Indemnification:**
Indemnification covers any losses, legal responsibilities, expenses, damages, costs (including attorneys' fees and court costs), claims, or actions arising from service usage.
### **Violation and Acts/Omissions:**
Encompasses situations where users violate terms outlined in the User Agreement.
Includes acts or omissions implicating publicity rights, defamation, or invasion of privacy.
### **KUSA's Right to Exclusive Defense:**
KUSA reserves the right, at its own expense, to assume exclusive defense and control over matters subject to indemnification by the user.
### **User Cooperation:**
Users commit to fully cooperating with KUSA in the defense of matters where exclusive control is assumed by KUSA.
